Hannes Snellman järjesti 20.5.2020 lounaswebinaarin, joka päätti työoikeuden kolmiosaisen webinaarisarjan. Webinaarissa työoikeus- ja insolvenssiasiantuntijamme käsittelivät yrityssaneeraus- ja konkurssitilanteita. Kerroimme esimerkiksi, millaisia oikeuksia ja velvollisuuksia työnantajalla on, ja mikä toisaalta on työntekijän asema näissä tilanteissa. Kokosimme alle muutamia kysymyksiä ja vastauksia webinaarimme aiheista:

1 Käydäänkö yrityssaneerauksen yhteydessä yhteistoimintaneuvottelut?

Yhteistoimintalaki soveltuu myös yrityksen ollessa saneerausmenettelyn kohteena, mutta saneerausmenettelyn aloittaminen ei automaattisesti tarkoita sitä, että työnantajalla on velvollisuus käydä yhteistoimintaneuvottelut. Työnantaja selvittää yhteistyössä käräjäoikeuden määräämän selvittäjän kanssa yrityssaneerausmenettelyn kuluessa, edellyttääkö yhtiön toiminnan tervehdyttäminen myös työsuhteiden uudelleenjärjestelyjä. Mikäli katsotaan, että yhtiön toiminnan tervehdyttäminen edellyttää henkilöstön vähentämisiä ja että yhtiö on yrityssaneerauslaissa tarkoitetun menettelyn kohteena, on yrityksen käytävä yhteistoimintalain mukaiset yhteistoimintaneuvottelut, joiden vähimmäisneuvotteluaika on 14 päivää neuvotteluiden alkamisesta. Neuvotteluaika on riippumaton neuvotteluiden piirissä olevasta henkilöstömäärästä. Neuvotteluesitys neuvotteluiden aloittamisesta on annettava normaalisti, eli viisi päivää ennen yhteistoimintaneuvotteluiden aloittamista.

2 Voiko työsuhteen päättää yrityssaneerauksen johdosta?

Pelkästään saneerausmenettelyn aloittaminen ei oikeuta työntekijän irtisanomiseen. Työnantajalla on kuitenkin saneerausmenettelyn yhteydessä erityinen oikeus irtisanoa työntekijä kahden kuukauden irtisanomisajalla, mikäli irtisanomisen perusteena on saneerausmenettelyn aikana suoritettava järjestely tai toimenpide, joka on välttämätön konkurssin torjumiseksi, tai vahvistetun saneerausohjelman mukainen toimenpide tai muu järjestely. Lisäksi edellytetään aina työn olennaista ja pysyvää vähentymistä, kuten normaalistikin tuotannollisilla tai taloudellisilla perusteilla irtisanottaessa. Mikäli työsopimuksesta, laista tai työehtosopimuksesta johtuva irtisanomisaika on kahta kuukautta lyhyempi, voidaan kuitenkin noudattaa kyseistä lyhyempää irtisanomisaikaa. Käytännössä siis irtisanominen saneerausmenettelyn yhteydessä edellyttää tuotannollisia tai taloudellisia perusteita.

3 Mikä on pesänhoitajan ja konkurssipesän rooli suhteessa työntekijöihin konkurssin aikana?

Konkurssissa työnantajan päätösvaltaa käyttää konkurssipesä, ja tällöin myös työnjohto- ja valvontaoikeus siirtyy pesänhoitajalle. Työntekijä on siis velvollinen tekemään työtä konkurssihallinnon, eli käytännössä pesänhoitajan, johdon ja valvonnan alaisena. Palkan konkurssin ajalta maksaa konkurssipesä. Palkka on konkurssin massavelkaa eli se maksetaan ilman konkurssivalvontaa.

4 Päättyvätkö työsuhteet automaattisesti konkurssin perusteella?

Työsuhteet eivät pääty automaattisesti konkurssin perusteella. Kun tuomioistuin on tehnyt päätöksen velallisen asettamisesta konkurssiin, konkurssipesällä on konkurssiperusteinen erityinen irtisanomisoikeus irtisanoa työsopimukset päättymään 14 päivän irtisanomisaikaa noudattaen. Tämä irtisanomisoikeus koskee sekä toistaiseksi voimassa olevia että määräaikaisia työsopimuksia. Yhteistoimintalakia ei tällöin sovelleta, eli yhteistoimintaneuvotteluja ei tarvitse käydä ennen irtisanomispäätösten tekoa, mutta on tärkeää, että pesänhoitaja informoi kaikkia työntekijöitä huolellisesti siitä, mitä oikeuksia ja velvollisuuksia työntekijällä on konkurssitilanteessa. Irtisanominen konkurssin perusteella ei edellytä mitään muuta erityistä perustetta, eli tässä tilanteessa työntekijän yleinen irtisanomissuoja väistyy.

5 Mitä jos työnantaja ei maksukyvyttömyytensä vuoksi kykene maksamaan palkkoja?

Palkkaturvajärjestelmä turvaa työtekijän työsuhteesta johtuvien saatavien maksamisen työnantajan maksukyvyttömyyden varalta. Palkkaturvana voidaan maksaa saatava, jonka peruste ja määrä ovat selvät. Työntekijä voi hakea palkkaturvaa itse, mutta konkurssipesää varten on olemassa myös nopeutettu menettely, jossa pesänhoitaja selvittää ELY-keskuksen kanssa, mitkä saatavat voidaan suorittaa palkkaturvasta. ELY-keskuksen suostumuksella myös konkurssipesä voi hakea palkkaturvaa työntekijöiden puolesta. Palkkaturvana maksettavien saatavien enimmäismäärä on 15.200 euroa samalle työnantajalle tehdyn työn perusteella. Toimitusjohtajalla ei ole oikeutta hakea saataviaan palkkaturvasta.

Part 3: Over-Indebted Employer

In this webinar, our employment law and insolvency specialists discussed cases of company restructuring and bankruptcy, including the rights and obligations of the employer and the position of the employee in these cases. We have gathered below some of the questions and answers on the topics that were discussed in the webinar:

1 Must co-operation negotiations be held in connection with corporate restructuring?

The Finnish Act on Co-operation Within Undertakings also applies when a company is subject to corporate restructuring proceedings, but the initiation of corporate restructuring does not automatically mean that an employer is obligated to hold co-operation negotiations. The employer shall, together with an administrator appointed by the District Court, investigate over the course of the restructuring proceedings whether the rehabilitation of the company’s operations also requires the restructuring of its employment relationships. If it is deemed that the rehabilitation of the company’s operations requires a reduction in personnel and that the company is subject to proceedings within the meaning of the Finnish Restructuring of Enterprises Act, the company shall hold co-operation negotiations pursuant to the Act on Co-operation Within Undertakings, the minimum duration of which is 14 days from the onset of the negotiations. The duration of the negotiations is independent of the number of personnel subject to the negotiations. A proposal for the commencement of negotiations must be issued in the standard manner, i.e. five days prior to the commencement of the co-operation negotiations.

2 Can an employment be terminated due to corporate restructuring?

An employee’s employment may not be terminated solely on the basis of entering into restructuring proceedings. However, in connection with restructuring proceedings, employers have a special right to terminate an employee’s employment with two months’ notice if the termination derives from an arrangement or measure to be carried out during the restructuring proceedings, and which is necessary to avoid bankruptcy, or a measure or another arrangement pursuant to the confirmed restructuring programme. In addition, it is always required that the work to be offered has diminished substantially and permanently, similarly as under normal circumstances when terminating an employment for financial or production-related reasons. However, if the notice period arising from the employment contract, law, or collective bargaining agreement is shorter than two months, the shorter notice period may be applied. In practice, the termination of an employment in connection with restructuring proceedings thus requires financial or production-related reasons.

3 In bankruptcy, what is the role of the estate administrator and the bankruptcy estate in relation to the employees?

In bankruptcy, the decision-making power of the employer belongs to the bankruptcy estate, wherefore the power of management and control is also transferred to the estate administrator. Thus, employees are obligated to work under the management and control of the bankruptcy administration, i.e. in practice the estate administrator. In bankruptcy, salaries are paid by the bankruptcy estate and they are part of mass debt, i.e. salaries are paid without lodgement of claim.

4 Are employment relationships automatically terminated in the event of bankruptcy?

Employment relationships are not automatically terminated in the event of bankruptcy. Once a court has declared the debtor bankrupt, the bankruptcy estate has a special right on the basis of bankruptcy to terminate employment relationships with a notice period of 14 days.  This right of termination concerns all employment contracts whether they are fixed-term or effective until further notice. In such case, the Act on Co-operation Within Undertakings is not applied, i.e. co-operation negotiations need not be held prior to a decision on termination, but it is important that the estate administrator thoroughly informs all employees of their rights and obligations related to bankruptcy. Terminating an employment on the basis of bankruptcy does not require any other special ground, i.e. in this situation the general protection against termination is overridden.

5 What if the employer is unable to pay salaries due to insolvency?

The Finnish pay security system ensures the payment of employee claims arising from an employment relationship in the event of employer insolvency. A claim whose ground and amount are determined may be paid as pay security. Pay security may be applied for by the employee, but there is also an accelerated pay security procedure where the estate administrator can determine together with an ELY Centre (Centre for Economic Development, Transport and the Environment) which claims are eligible to be paid as pay security. With the consent of the ELY Centre, the bankruptcy estate may also apply for pay security on behalf of employees. The maximum amount of pay security payable for claims for work done for one employer is EUR 15 200. Managing directors are not eligible to apply for the payment of their claims through the pay security system.
