The Finnish Merger Control Regime Is Expanding

Suomen yrityskauppavalvonta laajentumassa

Yrityskauppavalvonta Suomessa voi jatkossa olla entistä laajempaa ja koskea yhä useampia ja pienempiä yrityksiä. Näin on siinä tapauksessa, että kilpailulakia muutetaan Kilpailu- ja kuluttajaviraston (KKV) ehdotusten mukaisesti.  Muutosehdotukset koskevat yrityskauppojen ilmoitusvelvollisuutta – ne alentaisivat nykyisiä yrityskauppavalvonnan liikevaihtorajoja ja antaisivat viranomaiselle niin kutsutun otto-oikeuden. KKV ehdottaa kilpailulakia muutettavan seuraavasti:

  1. KKV:n tutkittavaksi tulevien yrityskauppojen liikevaihtorajoja olisi alennettava siten, että tutkittavaksi tulisivat kaikki yrityskaupat, joissa osapuolten yhteenlaskettu Suomesta kertynyt liikevaihto ylittää 100 miljoonaa euroa, ja vähintään kahden osapuolen Suomesta kertynyt liikevaihto ylittää kummankin osalta 20 miljoonaa euroa.
  2. Kilpailulakiin sisällytettäisiin KKV:lle otto-oikeus eli oikeus ottaa käsiteltäväkseen myös sellaisia yrityskauppoja, jotka jäisivät asetettujen liikevaihtorajojen alapuolelle. Otto-oikeus olisi rajattu tapauksiin, joissa osapuolten yhteenlaskettu Suomesta kertynyt liikevaihto ylittää 50 miljoonaa euroa. Tämänhetkisen ehdotuksen mukaan rajan ylittämiseen riittäisi yhden osapuolen liikevaihto.

KKV:n ehdotus on edennyt työ- ja elinkeinoministeriön (TEM) arvioitavaksi ja TEM:n arviomuistion mukaan se pitää KKV:n muutosehdotuksia kilpailun kannalta pääasiassa myönteisinä. Muistion mukaan selkein muutostarve kohdistuu siihen, että tällä hetkellä osapuolten yhteinen liikevaihto lasketaan maailmanlaajuisesti eikä Suomesta kertyvästä liikevaihdosta ja nykyisen 350 miljoonan euron rajan arvioidaan olevan Suomen kokoisessa kansantaloudessa melko korkea.

Otto-oikeuden käytölle olisi TEM:n mukaan syytä sisällyttää reunaehdot ennustettavuuden lisäämiseksi ja kielteisten vaikutusten rajaamiseksi. Koska otto-oikeudella voitaisiin periaatteessa puuttua myös jo täytäntöön pantuihin yrityskauppoihin, vaikuttaisi otto-oikeuden myöntäminen viranomaiselle merkittävästi yritysten oikeusvarmuuteen. TEM:n mukaan otto-oikeuden käyttämiseen tulisikin liittää muun muassa ajallinen rajaus. Ajanjakson tulisi olla kohtuullinen sekä yritysten että KKV:n näkökulmasta, esimerkiksi kolme kuukautta yrityskaupan ilmoitusvelvollisuuden syntymisestä lukien. Myös vapaaehtoisen ilmoittamisen mahdollisuus tulisi ottaa käyttöön siten, että yritys voisi halutessaan saada asiaan selvyyden viranomaiselta jo aiemmassa vaiheessa.

Arviomuistiossa pohditaan erilaisia toteuttamisvaihtoehtoja otto-oikeudelle. On esimerkiksi arvioitava, kuinka pieniin kohdeyrityksiin otto-oikeus on mielekästä ulottaa ja tulisiko otto-oikeus siten sitoa kohdeyrityksen liikevaihtoon. Ilmoittamisen ei tulisi muodostua liian suureksi rasitteeksi yritykselle esimerkiksi suhteessa kaupan arvoon.

KKV on arvioinut muutosten johtavan kymmenien miljoonien eurojen kuluttajahyötyihin, vaikka toisaalta samalla sekä viraston että yritysten hallinnolliset kustannukset kasvaisivat merkittävästi. TEM:n mukaan ilmoitusvelvollisuuden laajentamisesta aiheutuvat hyödyt kuitenkin ylittäisivät siitä aiheutuvat kustannukset ja ehdotuksen kustannus-hyötysuhde on näin ollen hyvä.

Arviomuistion lausuntokierroksen yhteydessä monet lausuntoja antaneista sidosryhmistä suhtautuivat ainakin jossain määrin myönteisesti liikevaihtorajojen muuttamiseen. Sen sijaan otto-oikeuteen suhtauduttiin kriittisemmin ja erityisesti ennakoitavuuden ja oikeusvarmuuden kärsiminen herättivät lausunnonantajissa, kuten esimerkiksi Suomen Asianajajaliitossa, huolta. Lisäksi ehdotettujen muutosten tarkempaa arviointia pidettiin tarpeellisena niiden perustuessa tällä hetkellä KKV:n yksipuolisesti tekemään selvitykseen.

Mikäli asiassa päätetään edetä, voisi mahdollinen lakimuutos tulla voimaan jo vuoden 2023 alusta. Muutettua sääntelyä voitaisiin soveltaa yrityskauppoihin, joissa sopimus on tehty, määräysvalta hankittu tai julkinen ostotarjous julkistettu lain voimaantulon jälkeen.

On erittäin tärkeää, että erityisesti otto-oikeuden käyttöönottoa ja sen vaikutuksia arvioidaan perusteellisesti ennen päätöstä sen sisällyttämisestä lainsäädäntöön. Otto-oikeus voi merkittävästi heikentää yritysten oikeusvarmuutta ja yrityskauppaprosessien ennakoitavuutta. Ennakoitavuudella on keskeinen merkitys yrityskauppavalvonnassa, ja epävarmuustekijöiden lisääntyminen voi johtaa siihen, että tietyt yrityskaupat jopa jätetään tekemättä. Jos otto-oikeus sisällytetään kilpailulakiin, on sen käytölle siten asetettava selkeät ja oikeudenmukaiset reunaehdot.

The Finnish Merger Control Regime Is Expanding

The Finnish Competition and Consumer Authority (the “FCCA”) has proposed amendments to the Finnish Competition Act, and if approved, merger control in Finland will be even more extensive and affect more and even smaller companies in the future. The proposed amendments concern merger control turnover thresholds, namely lowering them and granting the authority a right to require a notification even when the thresholds are not met. The FCCA proposes that the Competition Act be amended as follows:

  1. The turnover thresholds of the concentrations required to be notified to the FCCA should be lowered so that a notification is required of all concentrations where the parties’ combined turnover in Finland exceeds EUR 100 million and the turnover of at least two of the parties resulting from Finland exceeds EUR 20 million.
  2. The FCCA should be granted the right to require a notification in situations where the turnover thresholds are not met. According to the proposal, such a right would be limited to concentrations where the parties’ combined turnover resulting from Finland exceeds EUR 50 million, and one party’s turnover would be sufficient to exceed the threshold.

The FCCA’s proposal is now under review by the Finnish Ministry of Economic Affairs and Employment (hereinafter the “Ministry”). According to the Ministry’s assessment report which was published in January, it finds the proposed amendments to be mainly positive in terms of competition. The report states that lowering the turnover thresholds and amending them to be based on a national instead of a global turnover is of key concern. The current requirement of EUR 350 million is estimated to be rather high in a national economy the size of Finland.

According to the Ministry, in order to increase predictability and mitigate negative effects, clear boundaries should be associated with the use of the FCCA’s right to require a notification. Granting the FCCA the right to require a notification would significantly affect the legal certainty of companies, as it could, in principle, also be used to intervene with mergers that have already been implemented. The Ministry is of the view that for instance a temporal limitation should be associated with the use of the right. The period should be reasonable from the viewpoint of all parties, for example, three months after the start date of the obligation to notify.  In addition, the possibility of a voluntary notification should be included in order for companies to have the possibility to get answers from the authority at an earlier stage if necessary.

The assessment report also considers the different ways in which the FCCA’s right could be implemented. For instance, the size of the companies covered by the right should still be assessed along with whether the right should be limited with a minimum turnover requirement. The notification procedure should not become too much of a burden for the companies, for example in relation to the value of the transaction.  

The FCCA has estimated that the amendments would result in consumer benefits of tens of millions of euros but simultaneously the administrative costs for the authority and the companies would rise significantly. The Ministry is of the view that the benefits outweigh the disadvantages and thus the cost-benefit ratio of the proposal is good.

During consultations of the assessment report, many stakeholders issued somewhat positive statements concerning the amendments relating to the turnover thresholds. However, a more critical approach was taken towards the FCCA’s right to require a notification, and the deterioration of predictability and legal certainty were of particular concern. In addition, several statements considered it necessary to carry out a more detailed assessment of the proposed amendments, as the current assessment is based on a report carried out unilaterally by the FCCA.

If it is decided to continue further with the amendments, the new regulations could enter into force already at the beginning of 2023. In this case, the amended regulation would be applied to all mergers in which the agreement has been concluded, control has been acquired, or a public tender offer has been published after the entry into force of the new regulation.

It is important that especially the FCCA’s right to require a notification and its impact be thoroughly examined before making the decision to include it in the legislation, as the right to require a notification mitigates the legal certainty of undertakings and the predictability of merger procedures. Predictability is of essential significance in merger control and the increase of unpredictability could even lead to some mergers not being completed at all. If the FCCA’s right to require a notification is to be included in the Competition Act, clear and justifiable boundaries need to be set for its use.
